1. INTRODUCTION

These Terms and Conditions ("Terms") form a binding legal agreement between you ("the Member") and the administrators of the Program ("the Program," "we," "us," or "our"). By enrolling in the Program, submitting payment, or participating in any Program activities, you acknowledge that you have read, understood, and agreed to be bound by the Terms set forth herein.

The Program is designed to provide educational support, structured guidance, functional medicine resources, mentorship, community engagement, and access to partner-related discounts applied on certain courses offered by Institute of Functional Medicine (IFM). The Program does not replace formal medical education, accredited training, or certification pathways such as those offered by the Institute for Functional Medicine (IFM). The Program is not affiliated with or endorsed by IFM. It serves solely as a supplemental support community assisting Members throughout their learning journey.


2. PROGRAM DURATION, FEES & PAYMENT TERMS

The Program is offered as either a six-month or twelve-month membership. All fees are stated in U.S. Dollars (USD) and must be paid in full prior to access. Fee Structure:

  • Six-Month Program: USD 899 (Early Bird) or USD 999 (Standard)
  • Twelve-Month Program: USD 1,499 (Early Bird) or USD 1,699 (Standard)

Enrollment is confirmed only upon receipt of full payment. The Member understands that partial payments, deposits, installment plans, or deferred payments are not permissible.

All payments are final and non-refundable, except under the limited circumstances described in Section 7. Submission of payment signifies your acceptance of these Terms and your understanding that no reversal of payment will be granted on the basis of non-participation, dissatisfaction, schedule conflicts, or any reason other than those expressly covered under the credit consideration policy.


3. EARLY BIRD DEFINITION & ELIGIBILITY

Early Bird pricing is a privilege extended to Members who complete and submit full payment before the Program's official start date.

Program Start Dates:

  • Six-month terms commence on 1 January and 1 July each year.
  • The next twelve-month term begins on 1 January of each year.

To qualify for Early Bird pricing, Members must ensure that the Program has received full payment prior to 00:00 (local Program administration time- MST) on the respective start date. Any payment submitted on the start date or thereafter will automatically default to Standard pricing without exception or appeal.

Early Bird pricing is not guaranteed and may be withdrawn or modified at the discretion of the Program. Enrollment at Early Bird rates does not entitle Members to priority access, additional benefits, or preferential treatment beyond the discounted financial rate.


4. MEMBERSHIP BENEFITS

Once members enrolled to the program, members receive the following:

  1. Discounts to following courses offered by Institute of Functional Medicine (IFM)
    • 40% off: AFMCP, APMs, Lifestyle, TFP
    • 10% off: AIC, Intermittent Fasting, Coaching Certification
  2. Mentorship & Support
    • Monthly live session: case discussions (1 hour) + Q&A (1 hour)
    • IFM pathway onboarding for new members
    • Ongoing access to IFMCP-certified mentors
    • Training on interpreting functional tests
    • Playbooks on using tests as clinical and revenue tools
  3. Exclusive Circle
    • Limited seats to maintain discussion quality and engagement

MONTHLY LIVE SESSIONS, Q&A, SESSION ACCESS & RECORDINGS

The Program includes monthly virtual educational sessions comprising approximately one hour of case discussion and one hour of live Q&A. Sessions are conducted in English via Google Meet, typically during a weekday evening in the final week of each calendar month.

The Q&A portion is live only. Members who do not attend live sessions may watch the recorded version but will not be able to ask questions retroactively, submit questions for later sessions, or request personalized follow-up based on missed Q&A opportunities.

Session recordings will be released after two (2) weeks from the date of the live session. Members understand that access to recordings:

  • is not immediate
  • is not guaranteed to remain available indefinitely
  • may be restricted to online streaming only
  • does not permit downloading, saving, or storing
  • may be removed at the Program's discretion for any administrative or legal reason

Recordings are strictly for personal educational use and may not be duplicated, distributed, screen-recorded, altered, or used for teaching or commercial dissemination. Unauthorized use of recordings is grounds for legal action.


5. COHORT RESTRICTIONS & TRANSFER LIMITATIONS

Enrollment is locked to the specific cohort and term selected at the time of purchase. Members acknowledge and agree that:

  • Transfers to another cohort are not permitted
  • Extensions, pauses, deferments, and freezes are not available
  • Membership cannot be delayed or shifted to a future term
  • Missed sessions do not entitle Members to additional support, sessions, or compensation

These policies ensure fairness for all Members and maintain the structural integrity of the Program.


6. INTELLECTUAL PROPERTY RIGHTS

All content provided within the Program—including, without limitation, presentations, slides, videos, documents, worksheets, playbooks, templates, frameworks, audio recordings, proprietary systems, and teaching methodologies—is the exclusive intellectual property of the Program administrators and instructors.

Members may not:

  • Reproduce, record, or download content
  • Share content publicly or privately with non-members
  • Use materials for commercial, instructional, or clinical training purposes
  • Sell, distribute, or upload materials to external platforms
  • Claim ownership or authorship of Program content

Violations of intellectual property rights may result in civil liability, injunctions, damages, legal fees, and immediate removal from the Program without refund.


7. REFUNDS, CANCELLATION & CREDIT POLICY

The Program operates under a strict no-refund policy. Payment confirms participation and secures access to Program benefits for the defined membership duration.

Under exceptional and unforeseeable circumstances, such as significant medical condition, Members may request a partial program credit. Requests must be accompanied by valid supporting or legal documentation. Credit approvals are not guaranteed and depend solely on administrative discretion.

Credit values, validity periods, and terms of use will be determined exclusively by Program administrators.


8. DISCOUNT POLICY, TERMS OF USE & MISUSE CONSEQUENCES

Members may gain access to exclusive discounts on partner- IFM-related programs. These discounts are governed by strict guidelines to protect partner relationships.

Discounts may only be used:

  • by active Members
  • within the Member's subscribed Program duration
  • for courses that begin within the Member's active membership period
  • by the Member personally (non-transferable)

Misuse includes (but is not limited to):

  • Using discounts to register for courses outside the membership term
  • Allowing non-members to use or access the discount
  • Sharing, forwarding, or distributing discount codes
  • Attempting to redeem codes after membership expiration
  • Fraudulent or unauthorized use of discount privileges

Penalties for misuse are immediate and severe:

  1. Permanent removal from the Program without refund
  2. Permanent blacklist from all future Programs
  3. Revocation of access to all resources and discounts
  4. Notification to the discount partner (e.g., IFM)
  5. Legal action for breach, fraud, and damages if applicable

These measures ensure the protection of the Program's integrity and maintain compliance with partner agreements.


9. CODE OF CONDUCT & PROFESSIONAL STANDARDS

Members are expected to uphold ethical and professional behavior throughout participation. This includes maintaining confidentiality, respecting peers and instructors, refraining from derogatory speech, avoiding solicitation of services or products within sessions, and protecting patient privacy in any case discussions. Failure to adhere to professional conduct standards may result in immediate termination of membership without refund.


10. LIMITATION OF LIABILITY

The Program offers educational support but does not provide medical advice, clinical directives, or guaranteed outcomes. Members remain solely responsible for all clinical decisions and professional actions within their own practice. The Program, its instructors, and affiliates are not liable for any losses, damages, legal disputes, exam outcomes, business results, or clinical consequences arising from Member decisions or interpretations.


11. COMMUNICATION RESPONSIBILITIES

Official communication will be issued via email. Members are responsible for ensuring their contact information is accurate, functional, and regularly checked. The Program bears no responsibility for missed announcements due to spam filters, outdated email addresses, personal neglect, or technical issues outside the Program's control.


12. AGREEMENT & ACCEPTANCE

By submitting payment, enrolling in the Program, or accessing Program materials, the Member acknowledges that they have read, understood, and agreed to be legally bound by all Terms & Conditions herein. Continued participation constitutes ongoing acceptance.
